Slumber Sleep Inc. — Wholesale Terms of Service

These Terms of Service ("Terms") govern your access to and use of the wholesale services provided by Slumber Sleep Inc., a Delaware corporation ("Slumber," "we," "us," or "our"). By applying for a wholesale account or placing an order, you ("Customer," "you," or "your") agree to be bound by these Terms.

1. WHOLESALE ACCOUNT

1.1 Application and Approval. All wholesale accounts require an application and are subject to approval at Slumber's sole discretion. Submission of an application does not guarantee approval.

1.2 Account Information. You agree to provide accurate, current, and complete information during the application process and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials.

1.3 Account Termination. Slumber reserves the right to suspend or terminate any wholesale account at any time, with or without cause, at our sole discretion.

2. ORDERS AND PAYMENT

2.1 Minimum Order. First-time orders require a minimum purchase of $250 USD. Exceptions may be granted at the discretion of your assigned wholesale representative.

2.2 Payment Terms. Payment terms are assigned on a per-account basis and are subject to Slumber's approval. Terms may include, but are not limited to, payment due upon receipt, Net 15, Net 30, or Net 45. Slumber reserves the right to modify payment terms at any time.

2.3 Pricing. All prices are subject to change without notice. Prices in effect at the time of order confirmation will apply to that order.

2.4 Order Acceptance. All orders are subject to acceptance by Slumber. We reserve the right to refuse or cancel any order for any reason.

3. SHIPPING AND DELIVERY

3.1 Shipping. Shipping costs and methods will be communicated at the time of order. Risk of loss and title to products pass to Customer upon delivery to the carrier.

3.2 Delivery. Delivery dates are estimates only. Slumber is not liable for delays in shipment or delivery.

4. RETURNS AND DEFECTIVE PRODUCTS

4.1 Defective Items. Slumber accepts returns for defective products or items with documented issues. Customers must notify Slumber of any defects or issues within a reasonable time of receipt.

4.2 Return Shipping. Customer is responsible for all return shipping costs unless otherwise agreed in writing by Slumber.

4.3 Refunds and Credits. Approved returns will be processed as a refund or account credit at Slumber's discretion.

5. RESALE RESTRICTIONS

5.1 Amazon Prohibition. Customers are strictly prohibited from reselling Slumber products on Amazon or any Amazon-affiliated marketplace. This restriction applies to all Amazon platforms worldwide.

5.2 Violation Consequences. Any violation of Section 5.1 will result in immediate termination of your wholesale account and may result in Slumber issuing a cease-and-desist letter and pursuing any additional legal remedies available.

6. INTELLECTUAL PROPERTY

Customer acknowledges that all trademarks, logos, and branding associated with Slumber products are the exclusive property of Slumber Sleep Inc. Customer may not use Slumber's intellectual property without prior written consent.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLUMBER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR THE PRODUCTS, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY.

8. INDEMNIFICATION

Customer agrees to indemnify, defend, and hold harmless Slumber Sleep Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to Customer's breach of these Terms or Customer's resale of products.

9. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

10. CHANGES TO TERMS

Slumber reserves the right to modify these Terms at any time. Updated Terms will be posted on our website, and your continued use of the wholesale services constitutes acceptance of the modified Terms.
